Gary Eberhardt represents a variety of clients in corporate matters including mergers, acquisition and divestiture transactions.
He advises clients on corporation, limited liability company and partnership organizational structuring. In addition, he handles antitrust and trade regulation compliance and negotiates and documents corporate and commercial contracts. Those include agreements dealing with shareholder rights, buy-sell obligations, company operating provisions, product distribution and supply, private label and original equipment manufacturing and executive employment, and sales representative and consulting arrangements.
Gary represents both lenders and borrowers in finance structuring and documentation and has served as borrower’s lead counsel or municipal issuer’s counsel respecting tax exempt and taxable revenue bond financing in six states, aggregating more than $1.5 billion of debt instruments.
He has represented a variety of industrial, commercial and residential developers in real estate acquisition, disposition, development, leasing and finance projects.
