Mr. Lehrer is an Officer and the Chair of the Corporate Practice Group. Mr. Lehrer has represented numerous clients in merger, acquisition and divestiture transactions and in regard to venture capital and private financing transactions. He represents substantial closely held corporations in regard to financial and tax structure, general business law matters and strategic planning issues.
In particular regard to acquisition and divestiture matters, Mr. Lehrer has been the primary and lead negotiator and attorney with respect to a number of well-publicized St. Louis transactions, and has represented public and private corporations outside of the St. Louis Metropolitan Area. Mr. Lehrer has served on a number of statutory boards of directors and advisory boards on behalf of a number of private and publicly traded companies. Mr. Lehrer is also an Adjunct Professor of Law at Washington University School of Law, where he teaches a popular course in Business Acquisitions and serves on the National Council of Washington University School of Law.

Transactions
- Represented grocery retailer in acquisition of U.S. operations large Canadian grocery retailer, and re-sold New Orleans and Mississippi operations to another party, retaining the Missouri and Illinois operations. Negotiated required divestitures with Missouri and Illinois attorney generals and the FTC.
- Represented majority shareholder of national general contractor in sale of stock to management and an Employee Stock Ownership Plan.
- Represented significant shareholders of a publicly traded corporation who successfully waged a proxy fight for control of the Board of Directors. Represented the shareholders with respect to SEC filings and coordination of strategy for proxy fight.
- Represented client in sale of television station to a new publicly traded corporation.
- Represented major corporation regarding a successful restructuring of its loans and debt, followed by an eventual successful sale of the corporation.
- Sale of significant privately held pharmaceutical company to an international French pharmaceutical company.
- Sale of a national real estate holding and development corporation to a NYSE publicly traded Real Estate Investment Trust in exchange for REIT units.
- Conducted auction sale of publicly traded maritime shipping company. Negotiated and closed the sale transaction.
- Represented merchant bankers with respect to acquisition of privately held corporation, raising equity financing and acquisition financing. Negotiated eventual successful sale of the acquired corporation.
- Represented the Special Committee of the Board of Directors of a publicly traded property and casualty insurer in regard to competitive bidding for the sale of the Company and the negotiations and consummation of a sale transaction with the successful bidder, as well "going private" filings with the S.E.C.
- Represented shareholders of a significant privately held corporation with respect to resolution of disputes, culminating in the redempiton of stock.
- Acted as transaction counsel with respect to a multi-billion sale of stock of a significant publicly-traded NYSE company to a private equity firm.
