Mr. Garland is an Officer and the Manager of the Intellectual Property and Technology and a member of the Corporate Practice Group . He represents companies and individuals with respect to the development, licensing and transfer of patents, trademarks, copyrights and trade secrets in the pharmaceutical, manufacturing, toy, merchandise, Internet, technology, and software fields. In addition, he has counseled companies in connection with optimizing the value of their intellectual properties, and has assisted companies in their procurement of complex computer and management information systems and services.

Mr. Garland collaborates closely with the specialized patent, trademark, copyright and technology attorneys in the Intellectual Property & Technology Practice Group to ensure that not only the technical needs of our clients are met, but their business needs as well.

He also has significant experience representing a broad range of businesses, including ethical pharmaceutical firms, securities brokers, banks, technology and software firms, real estate developers, veterinary pharmaceutical companies, retail chains, distributors, manufacturers, entertainment companies, educational publishers, and others. He has represented such clients in connection with acquisitions and divestitures, real estate acquisitions, business planning, financing transactions on behalf of both lenders and borrowers, executive compensation arrangements, start-up company structuring, venture capital transactions, complex outsourcing transactions, shareholder agreements and transactions, aircraft transfers, and general corporate matters, among other areas.

  • Negotiated Sale of Bock Pharmacal, a closely held pharmaceutical company.
  • Mr. Garland has led or participated in many merger, acquisition and divestiture transactions in a wide variety of industries, including, communications, rental car, manufacturing, toy, grocery, technology and bakery distribution businesses. Such transactions have embraced a wide variety of tax and other issues, including Subchapter S “built-in gains” issues, Internal Revenue Code Section 338 and 338(h) (10) elections, non-competition arrangements, financing, and business integration issues.
  • Mr. Garland has negotiated a significant number licenses and technology transfers in a wide variety of fields on behalf of licensors and licensees, including, medical devices, pharmaceuticals, drug delivery systems, pharmaceuticals, manufacturing technology, technology patents, brand names, toys, trademarks, educational films, television series and production, and software.
